Terms of Service — Venture360

Definitions

"Accredited Investor" means users meeting criteria under United States Securities laws or equivalent standards in their jurisdiction.

"Content" includes all information on the Venture360 Platform, encompassing trademarks, logos, copyrighted works, text, and graphics, excluding User submissions.

"Organization" refers to investor groups, business competitions, economic development agencies, conferences, financial institutions, incubators, non-profits, accounting firms, law firms, family offices, universities, and venture funds.

"Registered User" means any person interacting with Venture360 Content or User Content via the Platform.

"Services" refers to all products and services Venture360 provides.

"Venture360" means Venture360 Inc., a Delaware corporation at 210 Market Street, Lees Summit, MO 64064. Brokerage services are provided by Liquifi LLC, a FINRA-member broker-dealer subsidiary.

Description of the Venture360 Platform

Venture360 provides resources and tools to entrepreneurs, Organizations, and Accredited Investors. The Platform includes web applications, APIs, storage, email, professional services, and collaboration tools. Users must register and use supported browsers.

Venture360 does not review or verify any User content, and does not and cannot guarantee that any User content is accurate or complete.

Registered Users

Entrepreneurs: May upload business information and designate confidentiality levels. Venture360 cannot guarantee prevention of unauthorized access.

Investors: May access entrepreneur confidential information and should exercise discretion.

General Users: Non-registered users accessing public portions remain bound by these Terms.

Venture360 has absolute rights to reject users, terminate accounts, delete content, or publish non-confidential content.

License to Use

Venture360 grants a non-exclusive, revocable, non-transferable license to use the Platform. All rights remain exclusive property of Venture360 and its licensors.

Accredited Investors

Venture360 enables Users to self-accredit, but Venture360 does not certify or verify the Users' self-accreditation.

Each user bears responsibility for conducting diligence on Accredited Investors. Venture360 does not verify compliance with securities laws for international users.

Securities

Federal securities laws require registration unless exemptions apply. Securities include promissory notes, convertible instruments, options, warrants, and capital stock. Users assume sole responsibility for legal compliance.

Venture360 does not recommend any investments, does not verify or review User documents or communications, and does not give business advice, financial advice, investment advice, tax advice, or legal advice.

Purchases

Some services are free; others require fees. Features, availability, and pricing are subject to change without notice. Users authorize Venture360 to charge provided payment methods automatically.

There will be no refunds or credits for prior months of service, partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account.

Our Proprietary Rights

Venture360 and licensors own all information and materials, excluding User Content. Users may access, view, and print content for personal, internal business purposes only.

You agree not to reproduce, modify, rent, lease, loan, sell, distribute, or create derivative works based on all or any part of Venture360.

Eligibility

Users must register for accounts. Users under 18 may not sign up. Investor users must represent themselves as Accredited Investors.

Limitations on Use

Venture360 cannot guarantee freedom from technical difficulties, data loss, or service interruptions. The Platform operates on an "as is" basis.

Venture360 reserves the right to change or discontinue, either temporarily or permanently, any part of the Venture360 Platform or any or all of its services at any time and without prior notice.

Limitations on Service

Venture360 may impose limits on certain features and services or restrict your access to parts of or the entire Venture360 Platform without notice or liability.

Data Accuracy

Users must provide true, current, and complete registration information, updating it as changes occur.

Passwords

Users are responsible for maintaining password confidentiality. Users should notify Venture360 of suspected unauthorized access.

Compliance with Applicable Laws

Users agree not to use the Platform in violation of law or to transmit obscene, libelous, harassing, abusive, or threatening information.

Email

Users may not send unsolicited commercial email or use automated systems accessing the Platform excessively. Venture360 may establish policies regarding message retention, frequency, and size.

Privacy

Venture360 maintains a detailed Privacy Policy incorporated by reference. Users consent to personal information collection and transfer to the United States.

A User may make certain confidential, personal, or private information viewable through the Venture360 Platform. You may not disclose information obtained in this manner to any third parties without first obtaining permission.

Prohibited Activities

Users agree not to post threatening, harassing, defamatory, fraudulent, obscene, or infringing content. Users may not transmit viruses, engage in fraud, use automated scrapers, impersonate others, or interfere with Platform operation.

User Submissions

All inquiries, feedback, suggestions, ideas, or other information any User provides to Venture360 concerning the Venture360 Platform will be treated as non-proprietary and non-confidential.

Venture360 gains full ownership of Submissions and may use them without compensation or attribution.

User Content

Users retain rights to User Content but grant Venture360 a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, and display it.

Users warrant ownership of User Content and necessary permissions. Users may not submit copyrighted, defamatory, unlawful, or obscene material.

Venture360 does not endorse User Content and reserves removal rights without notice. Repeat infringers face account termination.

DMCA Notices

Copyright owners may submit DMCA notifications including: signature, work identification, material location, contact information, good faith belief statement, and accuracy declaration.

Intellectual Property

All Platform Content except User Content belongs to Venture360 or licensors and is protected by copyright and trademark law.

Your reproduction and use of any of these is prohibited unless specific permission is provided on the Venture360 Platform or otherwise.

Disclaimers

NONE OF VENTURE360, ITS AFFILIATES, THEIR RESPECTIVE MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS MAKES ANY WARRANTIES OR REPRESENTATIONS ABOUT THE VENTURE360 PLATFORM OR ITS CONTENTS.

Venture360 provides no investment, business, tax, or legal advice. Users make independent investment decisions and waive claims against Venture360.

IN NO EVENT SHALL ANY VENTURE360 PARTY BE LIABLE FOR ANY DAMAGES WHATSOEVER RESULTING FROM EITHER A PERSON OR ENTITY'S USE OR INABILITY TO USE THE VENTURE360 PLATFORM.
